YOUR ACCEPTANCE OF THE TERMS
Terms and Conditions as specified below (hereinafter referred to as “User Terms and Conditions”) applies to your usage of the Weddingly’s platform that you can access including but not limited to the website www.theweddingly.com and through mobile applications “android” or “ios” (“Weddingly”) which is owned and managed by Weddingly, Inc. duly organized and existing under the laws of the United States, having its registered office at 651 N Broad St, Suite 206, in the city of Middletown, zip code 19709, and county of New Castle, doing business as Weddingly and hereafter referred to as (“Weddingly”)
In order for you to be able to use the facilities provided by Weddingly completely you must register in advance by creating an account on Weddingly as a User and you represent and warrant that you are an individual who is legally entitled to hold a binding agreement based on the law of the Republic of Indonesia, in particular, to use the Weddingly Platform and that you are at least 18 (eighteen) years of age. Therefore, you are obliged to provide true, accurate, and complete data and/or information.
We advise you to read this User Terms and Conditions carefully before using the Weddingly Platform. If you do not accept and not agree with this User Terms and Conditions you may not access or use the Weddingly Platform in any way.
We reserve the right, in our sole discretion, to change, modify, add, or remove portions of these Terms at any time, and you agree to be bound by such modifications or revisions. It is your responsibility to check the Terms periodically because any changes will be binding on you. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to these User Terms and Conditions, please do not use or access the Services.
As a User, you acknowledge that while we use techniques to help verify the identity of Vendors when they register for memberships or subscriptions on our Services, we cannot and will not guarantee each Vendor’s identity, capabilities, that it has obtained all required permits, licenses or consents, or that it complies with all applicable laws. We do not endorse any particular Vendor nor do we guarantee the quality of their goods or services. You should use our Services as a starting point for identifying organizations that provide the products and services you need, then conduct your own research to ensure the service providers you choose to do business are appropriate for you.
Our Services are only available to business entities and individuals at least 18 years of age who can form legally binding contracts under applicable law. Users of our Services include individual users such as prospective brides and grooms and newlyweds (collectively, “Members”), and companies and other third parties offering products and services related to weddings (collectively, “Vendors”) (all of the foregoing, including Members and Vendors, are referred to collectively, herein as “Users”). Certain areas of the Services provide a place for Members to interact with Vendors and book services that a Vendor offers.
PRODUCT
User can find various types of goods and/or services through the Weddingly Platform offered by Vendor registered on the Weddingly Platform that makes it easy for User to find the goods and/or services as appropriate needs, including but not limited to venue, catering, jewelery, bridal, decoration & lighting, dress & attire, honeymoon, invitations, men’s formal wear, photo booth, photography, videography, wedding planning, wedding cake, hair & makeup, entertainment (MC), entertainment (music, DJ, ceremony or other), officiants, wedding shoes, health & beauty, sweet corner, event rentals, flowers, and wedding accessories (hereinafter in together referred to as “Product”).
USER OBLIGATION
User agrees to fully responsible and liable for the confidentiality of the User’s login id, password and email in connection with the use of Weddingly Platforms (“Registration Information”). Therefore, User is not permissible to use a password that is already common and easily known by others, is not permissible to notify or divert Registration Information to other party and keeping it secret and is not allowed to store Registration Information in cell phones or other storage facility that are possible to be known by others.
If User is aware of the existence of illegal access to the Registration Information or User Account, then User is obliged to inform immediately to Weddingly at [email protected]. For the avoidance of doubt, such notice does not create responsibility to Weddingly for any form of misuse of Registration Information or User Account as a result of the existence of illegal access.
CONTENT SUBMITTED BY USERS
Users are solely responsible for their Submitted Content. We do not control the Submitted Content of Users. We are not a publisher of Submitted Content and we are not responsible for its accuracy or legality. You assume legal responsibility for and will indemnify us from all liabilities, losses, or damages incurred as a result of any of your Submitted Content.
By posting Submitted Content to any part of the Services, you automatically grant, and you represent and warrant that you have the right to grant to us, an irrevocable, perpetual, non-exclusive, transferable, fully-paid-up, royalty-free, worldwide license (with the right to sublicense at multiple levels) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and distribute such Submitted Content for any purpose and in any format on or in connection with the Services, our business, or the promotion thereof, to prepare derivative works of, or incorporate such Submitted Content into other works, and to grant and authorize sublicenses of the foregoing. Additionally, by providing Submitted Content, you authorize us to use the names, voices, photographs, likenesses, performances, and biographical data included in or associated with any Submitted Content in connection with the advertising, promotion, trade and other exploitation of the Submitted Content and the rights granted herein. You acknowledge that we may retain archived copies of your Submitted Content and may continue to use your Submitted Content in connection with any materials that were created prior to your removal of your Submitted Content, in accordance with the license described above.
PRIVACY POLICY
Our Privacy Policy describes how we handle the information you provide to us when you use our Services. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the processing and use by us and our affiliates. To the extent that you interact directly with a Vendor through our Services, you are subject to their Privacy Policy in connection with such interactions.
DISCLAIMER AND WAIVER OF LIABILITY
Everything that is related to the Weddingly Platform, is provided to User “as it is” and “as available” basis. Weddingly make no representations and warranties to the content or operation of the Weddingly. User hereby agree that use of the Weddingly’s service is the risk and responsibility of User themselves.
Weddingly make no representations and warranties of any kind about the condition, accuracy, reliability, completeness, either content or Weddingly’s services, and make no representations and warranties that the Weddingly Platform is a perfect platform. It is very possible for the occurrence of interruption, errors, virus infections or code or a computer program that runs automatically, containing damaging nature or which are intended to undermine, prevent and take over the system, data or a User’s personal information contained in the Weddingly Platform.
Weddingly is a technology company that provides Weddingly Platform in the form of software with the innovative concept of the marketplace that serves as a means to connect User with Vendor. Weddingly does not provide Product, acting as a provider of Product, or as a Vendor. User understand that Weddingly is not involved, and is not a party in the Agreement. Thus, Weddingly has no authority over the quality, accuracy, safety, or legality of the agreement and does not have authority over the accuracy of the list, Vendor listings or profiles, or the ability of Vendor to provide the Product they offer in the Weddingly Platform. Weddingly is only obligated to manage the Weddingly Platform as well as to facilitate agreements. Therefore, User release Weddingly from any liability to all or part of the losses incurred by User arising out of, or in agreements with Vendors.
Weddingly is not responsible for any services that Vendor provide to User, and any illegal actions carried out by the Vendor. User are prohibited from stating, or cause any party to understand that Weddingly is an agent, or representative of the Vendor. It depends on the Vendor to offer the Product to User and depends on User whether to accept the offer of the Product from the Vendor;
Weddingly does not represent and warrant that the Weddingly Platform free from the threat of information leakage or loss caused by the other party where such matters are also experienced by all internet User, including but not limited to: (i) carding; (ii) cracking; (iii) phishing; (iv) malware; or (v) any other things, addressed both to the Weddingly Platform as well as its supporting infrastructure. Therefore, User hereby declares that User has understood the risks that may arise related to the case and release Weddingly from any form of liability against all or part of the loss of the User’s gain in connection with the leakage of the information arising from the illegal acquisition by others or caused by interruption, mistakes, virus infections or errors in Weddingly Platform.
REFUND CLAIMS
If User wants a refund form a vendor, which is caused by, among other things, the Vendor does not make or wrong in doing his duties, excess payments, and other reasons, then it will not be Weddingly’s responsibility. Thus, Weddingly can help User or Vendor to state the details of the agreement (names, wedding date, quotation details, agreement confirmation timestamp, chat history from live chat or other), if agreement was confirmed on Weddingly Platform by both User and Vendor before the agreement took place (wedding party took place or services before/after wedding date) and all details were stated in Weddingly live chat messenger.
CONFIDENTIALITY
In using the Weddingly Platform, User are obligated to maintain the confidentiality of the information given by Weddingly to User, or other information obtained by User in connection with the use of Weddingly Platforms, including but not limited to, commercial information, contractual, financial, trade secrets, ideas, concepts, technology, design, specifications, diagrams data, other technical information, in any form (“Confidential Information”). The obligation to maintain the confidentiality of Confidential Information are valid since User registers for a Weddingly account, and will continue to apply even though User has ended the relationship with Weddingly through the User account termination. User is fully responsible for conducting compensation for the whole Weddingly losses and/or loss of profit and/or business partners arising out of, or in connection with User’s breach of the obligation to maintain the confidentiality of such Confidential Information.
INTELECTUAL PROPERTY RIGHTS
Everything about Weddingly, including but not limited to text, images, logos, content, features, software is protected by intellectual property rights on the basis of laws and regulations, including but not limited to Copyright and Trademark(s).
OTHERS
If one or more provisions of User Terms and Conditions be deemed invalid, the invalid, unenforceable, or illegal either in whole or in part, based on regulations legislation, then it will not abolish the validity and enforceability of the other provisions in this User Terms and Conditions. Thus the other provisions in this User Terms and Conditions will lawfully remain in full force regardless of the terms is held invalid, unenforceable or otherwise violate the law.
